Facebook Inc (FB)’s Dustin Moskovitz Owns 4.71% Of Outstanding Shares

Facebook Inc (NASDAQ:FB) co-founder Dustin Moskovitz controls 4.71% of of the company’s 2.55 billion outstanding shares. According to Moskovitz’s latest Schedule 13G filing with the SEC, he has sole voting power over 42,323,109 shares, and shared voting power over 53,079,662 shares. The filing showed that Moskovitz has sole voting power over 7,397,464 class-A shares through Dustin Moskovitz 2008 Annuity Trust, and 34,925,645 class-A shares via Dustin A. Moskovitz Trust.

On the other hand, the list of shares where he has shared voting power is pretty long. Moskovitz. That includes 195,083 class-A shares through The CTF Trust, 3,991,666 shares through Monster Growth Ventures where Moskovitz is a co-manager, 6,830,855 class-B shares through Dustin Moskovitz 2008 Annuity Trust and 42,062,058 shares of Class-B through Dustin A. Moskovitz Trust. The filing mentioned that the Class-B stock is subject to an agreement between the issuer, Mark Zuckerberg and Moskovitz.

A few days ago, Facebook Inc (NASDAQ:FB) CEO Mark Zuckerberg also filed his 13G with the regulator. Zuckerberg owns 19.6% of outstanding shares, i.e., 478,914,465 shares of the company he co-founded. He owns 478,914,248 class-B shares, and only 217 class-A stock. But his 49,082,762 class-B shares are convertible into Class-A stock at any time. Last year, Mark Zuckerberg donated $1 billion to a Silicon Valley charity.

Facebook CFO sells shares

Facebook Inc (NASDAQ:FB) CFO David Ebersman revealed in his Form 4 filing last Thursday that he offloaded 23,400 class-A shares of the company. He sold one parcel of 11,700 shares at $62.75 and another parcel of 11,700 shares at $62. Ebersman still owns 286,345 shares of Facebook. Many senior executives of the company have exercised restricted stock units to offload their holdings as Facebook shares have reached near the all-time highs. The stock has gained 122% over the past 12 months.

Last month, Facebook Inc (NASDAQ:FB) COO Sheryl Sandberg became a billionaire as the stock soared. She owns 12.3 million shares of the social networking giant, and has another 4.7 million stock options.

Facebook Inc (NASDAQ:FB) shares went up 0.68% to $63.98 in pre-market trading Tuesday.
